The freelancer and the agreement

Independent freelancer based in Scotland, United Kingdom.

“I” or “me” means Craig Alexander Stewart, trading as AnCasper. “You” means the client identified in the written project agreement. A business client acts for a trade or profession; a consumer acts wholly or mainly outside one.
Sending an enquiry, browsing the site or accepting the privacy notice does not hire me or agree a price. A project starts only after we both confirm a written quote or statement of work, the applicable terms and any agreed initial payment. I will provide the agreement in a form you can save.
The agreed project document sets out the specific deliverables, price, timetable and any variations to these terms. Mandatory legal rights take priority. Changes to this website do not retrospectively change an existing contract.
Scope, revisions and changes
The quote identifies what is included: pages, features, systems, assets, formats, supported platforms, review stages, revisions and handover. Items not included are not assumed to be part of the price. Examples in the portfolio are examples of work, not a promise of particular commercial results.
Extra pages, new features, additional revision rounds, new platforms or a changed brief require a written change agreement stating the price and timing before that extra work starts. If we do not agree a change, the original agreed scope remains.
You nominate a decision-maker and supply accurate content, feedback, access and approvals. I will explain any dependency that affects progress. Dates may need to move if required information or approvals arrive late; we will agree a revised schedule rather than treat silence as acceptance.
Prices and payments
The written quote states the total price or how it is calculated, applicable taxes, payment stages, due dates and any pre-approved third-party costs. No optional paid extras are added without your express agreement. A deposit is a payment towards the work, not automatically a non-refundable fee.
Unless a different due date is agreed, invoices are payable within 14 calendar days. Tell me promptly if you dispute an invoice so we can resolve it; undisputed amounts remain payable.
For overdue undisputed sums I may pause unperformed work after written notice and a reasonable opportunity to pay, normally at least seven days. I will not deliberately disable a live client site, delete client data or withhold client-owned credentials as a debt-collection measure. A pause may affect delivery dates. Any statutory interest or recovery costs for business debts apply only where legally available.
Review, delivery and support
I will perform the agreed service with reasonable care and skill. We agree review points, practical acceptance criteria and what is needed for launch. You should report issues with enough detail to reproduce them, and I will investigate a failure to meet the agreed specification and provide the remedy required by our agreement and applicable law.
Approval of a stage does not waive rights concerning defects that could not reasonably have been identified then. I will not count a lack of reply as approval. If the project stalls, I will contact you before changing its schedule or proposing closure.
Hosting, updates, monitoring, backups, content entry and ongoing support are included only where stated in the quote or a separate care agreement. A care plan must state its term, coverage, price, response arrangements and cancellation notice before it starts. There is no automatic subscription through this website.
How this applies to my services
- Websites and redesigns: the quote identifies content responsibilities, editing needs, migration, integrations, supported browsers and launch access. Compliance with a particular accessibility standard requires an agreed scope and validation.
- Web apps and integrations: API access, subscriptions, data migration, hosting and ongoing compatibility must be scoped. Third-party changes may require separately agreed work.
- Technical SEO: the service covers agreed investigations and changes. Search rankings, traffic, revenue and leads cannot be guaranteed.
- Minecraft, Roblox and server work: supported versions, environments and dependencies must be specified. You remain responsible for your platform accounts and operating your community under the relevant platform rules. Future platform changes are not an unlimited maintenance commitment.
- Branding and 3D assets: the quote identifies formats, model budgets, editable source files and usage rights. Trademark searches, registration and legal clearance are separate unless expressly included.
- AI features: any models, external data processing, usage costs, human review and accuracy limits must be agreed before integration. Confidential information will not be placed in public AI tools without your permission.
Content, ownership and licences
You retain rights in material you provide and grant me permission to use it for the agreed project. You must have the necessary rights and permissions for client-supplied text, brands, media, data and software. I may pause use of material if a credible rights issue is raised while we resolve it.
The quote must state the rights supplied with the final deliverables. Unless we agree an assignment in a signed written document, I retain copyright in work I create and, once the agreed fees for the deliverables are paid, grant you a perpetual, worldwide, non-exclusive licence to use and modify them for the agreed project, including through a replacement developer. You may transfer that project licence with the relevant business or project.
My pre-existing code, reusable components, methods and tools remain mine. Third-party and open-source items keep their own licence terms, which must be respected. This does not permit me to reuse your confidential information or client-owned materials.
Unused concepts, working files, editable source assets and broader resale rights are included only if the quote says so. If an ownership assignment is agreed, the signed assignment will identify what transfers, any exclusions and when it takes effect. I will seek permission before using unpublished work or confidential information in my portfolio.
Accounts, backups and confidentiality
Where practical, domains, hosting and platform subscriptions should be in your name and paid directly by you. We will agree any exception and handover arrangements. Use secure access-sharing methods; the public enquiry form is not a place to send passwords.
Before changes to an existing live system, we agree who makes and verifies backups and how rollback is handled. I remain responsible for any backup or security work I have expressly accepted; this clause does not excuse careless work.
Each of us will use the other’s confidential information only for the project, protect it with reasonable care and share it only with people who need access under appropriate obligations, or where law requires. Where I process personal data on your behalf, a suitable data-processing agreement is needed before access. The website privacy policy does not replace that agreement.
Pausing or ending a project
Either party can propose a pause or end the project in writing. If one party materially breaches the agreement, the other should explain the issue and allow a reasonable chance to put it right, normally 14 days, unless the issue cannot reasonably be remedied or urgent action is required.
If you cancel outside a statutory cancellation right, payment is limited to work properly completed to the cancellation date and reasonable, pre-approved, unavoidable third-party costs. I will provide a breakdown, avoid unnecessary further costs and refund any advance payment above the amount properly due. This is not an automatic claim to the entire remaining project price.
If I cannot complete the project, I will explain promptly, provide the paid-for work that can reasonably be handed over and refund amounts for work not supplied. We will agree a practical handover of client materials and access. Statutory remedies remain available.
Consumer cancellation rights
If you are a consumer and we agree a service remotely, you normally have the right to cancel without giving a reason until the end of 14 days after the day the contract was made. Email c.a.stewart@ancasper.co.uk with a clear cancellation statement before the deadline; the form below is optional.
I will not start during that period unless you expressly ask me to. If you request an early start and then cancel, you may owe a proportionate amount for the service supplied before cancellation, provided the required information and request were properly given. The right is lost only once the service is fully performed after your express request and acknowledgement of that consequence.
For separately supplied digital content, any immediate supply and loss of the cancellation right require the relevant express consent, acknowledgement and confirmation before supply. A custom development service is not automatically excluded from cancellation merely because it is bespoke.
Where a refund is due under these cancellation rules, it will be made without undue delay and within 14 days after I am informed of cancellation, using the same payment method unless otherwise expressly agreed. I will supply the full cancellation information with the project agreement. Nothing here reduces a longer or additional right provided by law.

Responsibility and limits
In every case: nothing excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability or remedy that cannot lawfully be excluded or limited.
Consumers: I am responsible for reasonably foreseeable loss caused by my breach or failure to use reasonable care and skill. Statutory rights, including applicable rights to repeat performance or a price reduction, are unaffected. The business-only cap below does not apply to consumers.
Business clients only: subject to the exceptions above and any overriding rule of law, aggregate liability arising from the affected project is limited to the greater of £1,000 or the total fees paid and payable for that project. Neither party is liable to the other for indirect or consequential loss, or loss of profit, revenue or anticipated savings. This allocation must be reasonable for the actual project; any different allocation, higher cap or insurance requirement must be expressly agreed before work starts.
Third-party outages, platform decisions and changes outside my reasonable control may affect a project. I will explain the effect and take reasonable steps to reduce disruption. This does not remove responsibility for my own contractual duties, negligent selection or implementation, or representations I have made.
Complaints and Scots law
Raise any concern with c.a.stewart@ancasper.co.uk, including the project reference and what you would like put right. I aim to acknowledge complaints within five working days and give a substantive reply within 20 working days, or explain any delay. These targets do not restrict your right to seek a remedy.
Scottish law governs the agreement. For business clients, the Scottish courts have exclusive jurisdiction unless the written project agreement says otherwise. Consumers retain the protection of mandatory laws and the right to use any courts available to them under applicable law, including the appropriate courts where they live.
We can agree mediation or other appropriate dispute resolution, but this is not compulsory and does not prevent either party from using legal rights.
